Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of RoostKey (the “service”), operated by RoostKey LLC. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

2. The service

RoostKey is software for managing properties, units, tenants, and leases; collecting rent; running maintenance; and tracking owner-financed sales. RoostKey is a software tool only. It is not a party to any lease, sale, or financing arrangement between landlords, tenants, or buyers, and it does not provide legal, tax, accounting, or financial advice.

3. Accounts & eligibility

You must provide accurate information, keep your password secure, and be at least 18 years old. You are responsible for all activity under your account, and — if you create logins for staff, tenants, or maintenance workers — for those accounts and for having the right to enter and manage their information.

4. Acceptable use

You agree not to use the service for any unlawful purpose, attempt to access data or accounts you are not authorized to reach, probe or breach security, or interfere with the operation of the service.

5. Payments & fees

• Subscription. Access to RoostKey is provided on a subscription basis. Fees and plan details are those presented at sign-up and may change on notice.
• Rent & other payments. Online payments are processed by Stripe. Landlords connect their own Stripe account and are responsible for that account and the funds collected through it. Stripe’s processing fees are separate and billed by Stripe.
• Not a financial institution. RoostKey is not a bank, money transmitter, or payment processor, and does not hold or move your funds.

6. Owner financing & calculations

Amortization schedules, interest-and-principal splits, payoff balances, and related reports are provided as tools for convenience. You are responsible for verifying all figures and for complying with applicable lending, disclosure, and consumer-finance laws. These outputs are not financial or legal advice.

7. Your content & data

You retain ownership of the information you enter. You grant RoostKey the license needed to host and process that information in order to operate the service. You are responsible for the accuracy of what you enter, for having the right to upload it, and for handling tenants’ and others’ information lawfully. Our handling of personal information is described in our Privacy Policy.

8. Intellectual property

The RoostKey software, name, logo, and website are owned by RoostKey LLC and protected by law. These Terms grant you no rights in them except those needed to use the service.

9. Availability & changes

We aim for high availability but do not guarantee that the service will be uninterrupted or error-free, and we may modify, suspend, or discontinue features.

10. Disclaimers

To the fullest extent permitted by law, the service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, RoostKey LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the service is limited to the amount you paid for the service in the twelve months before the claim.

12. Indemnification

You agree to indemnify and hold RoostKey LLC harmless from claims arising out of your use of the service, your violation of these Terms, or disputes between you and your tenants, buyers, or staff.

13. Termination

You may stop using the service at any time. We may suspend or terminate access for violation of these Terms or to protect the service. On termination, your right to use the service ends; retention and export of data are handled as described in the Privacy Policy.

14. Governing law

These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-laws rules.

15. Changes to these terms

We may update these Terms from time to time. The “Effective” date above reflects the latest version; continued use of the service after a change means you accept the updated Terms.
